Article 1 – Name and Purpose
1. Name: The name of this organization shall be Vasco Forever Helping Families (“the Foundation”).
2. Purpose: The Foundation is organized exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. Specifically, the Foundation shall bring awareness to the community about families killed on Vasco Road, promote roadway safety, provide educational resources, and support families impacted by roadway tragedies.
3. Nonprofit Nature: The Foundation shall not engage in any activities not permitted under section 501(c)(3).
Article II – Offices
1. Principal Office: The principal office of the Foundation shall be located in Brentwood, CA.
2. Other Offices: The Foundation may have other offices as determined by the Board of Directors.
Article III – Membership
The Foundation shall have no members as defined by California Nonprofit law. All powers shall reside in the Board of Directors.
Article IV – Board of Directors
1. Authority: The Board of Directors shall govern the affairs, policies, and activities of the Foundation.
2. 2. Composition: The Board shall consist of no fewer than five (5) and no more than seven (7) members, including: CEO President, Secretary, Treasurer, and Two (2) Directors.
3. Duties: Approve budgets and financial reports: oversee strategic goals and mission activities; ensure compliance with laws and regulations; support fundraising and awareness efforts.
4. Terms: Each Director shall serve a two-year term and may be re-elected.
5. Meetings: The Board shall meet quarterly, with additional meetings as necessary. A majority shall constitute a quorum.
6. Voting: Each Director has one vote. Decisions ae made by majority. Should someone abstains or not be present, who breaks tie? No one the motion simply fails.
Article V – Officers
1. CEO: Serves as the chief executive officer, oversees staff, programs, fundraising efforts, and acts as spokesperson.
2. President: Presides over board meetings, ensures resolutions are carried out and accounted for in the meeting minutes.
3. Secretary: Maintains records, meeting minutes, and corporate documents; provides notice of meetings.
4. Treasurer: Manages financial oversight, budgets, and compliance filings.
5. Directors: Support the mission and serves on committees as needed.
Article VI – Committees
Committees may be created by the Board to support specific projects (e.g. Fundraising, Road Safety Awareness, Family Support). Each Committee will report to the Board.
Article VII – Conflict of interest
Directors and officers must disclose conflicts of interest. No director shall vote on matters in which they have a financial interest.
Article VIII – Indemnification
The Foundation shall indemnify its officers and directors to the fullest extent permitted by law.
Article IX – Fiscal Policies
1. The fiscal year shall be January 1 – December 31.
2. All funds shall be used exclusively for the mission and not for the benefit.
Article X – Amendments
These bylaws may be amended by a two-thirds majority vote of the Board of Directors.
Article XI – Dissolution
Upon dissolution of the Foundation assets shall be distributed to a 501(c)(3) organization with similar purposes, consistent
